Discovery Communications CEO David Zaslav's 2011 ...

NEW YORK - Discovery Communications said Friday that CEO David Zaslav received compensation worth $52.4 million in 2011.

The total pay package, details of which were disclosed in a regulatory filing, compares with the $42.6 million he made in 2010. Zaslav's salary rose from $2 million to $2.96 million. But his stock option awards made the real difference, jumping from $15.4 million in 2010 to nearly $23.9 million last year.

"In 2011, Mr.?Zaslav led the company in achieving our overall strong performance," the company explained. "In addition to operating performance, other significant accomplishments included driving international growth, bringing on and developing strong leadership at our emerging networks and joint ventures, producing quality content and enduring series, and growing U.S. advertising sales to outperform the market."

Former COO Peter Liguori's compensation package for 2011 amounted to $4.8 million, down from $4.9 million in 2010, according to the Discovery filing.

Satellite TV giant DirecTV recently said its CEO Mike White's pay package reached $5.9 million. In January, Viacom said that CEO Philippe Dauman's compensation amounted to $43.1 million in the latest fiscal year. Both saw compensation declines due to special year-ago awards.

But Disney CEO Robert Iger's pay rose 12 percent to $31.4 million.

ICS for the Droid RAZR/MAXX and HTC Rezound coming next week, says Best Buy memo

We don't want anyone to get too excited and set themselves up for a heartbreak just yet, but a leaked document from Best Buy pins the Ice Cream Sandwich update for the Droid RAZR and RAZR MAXX for April 4, and the HTC Rezound on April 6. Anyone with a HTC Thunderbolt can tell you more about dates provided through Best Buy, and Motorola still hasn't given any type of ballpark date for the update for the RAZR and RAZR MAXX, which are still listed as being in the "evaluation and planning" stage. We've seen ICS leaks for both devices (the RAZR and RAZR MAXX run the same software) but nothing official from anyone involved. Both phones were to have ICS "soon" after release, but so far we're still waiting.

We want it to be true. We hope it's true. We're just naturally skeptical, especially when a third party like Best Buy is involved. We're sure nobody is trying to troll the Internets, but anyone who has worked in a corporate environment knows how things get fouled up. Here's hoping, and we'll know next week!

Genentech, ImmunoGen 'Smart Bomb' for Breast Cancer Clears Big ...

Genentech has been saying for years that it has confidence in a?supercharged version of its hit breast cancer drug, and today it cleared a?major hurdle on the way to making it?a?reality.

The South San Francisco-based company, a?unit of Roche, said today that trastuzumab emtansince (T-DM1) passed its biggest clinical trial yet, a?study of 991 women with metastatic breast cancer that overexpresses the HER2 protein, and who have previously been treated with the original trastuzumab (Herceptin) and a?taxane chemotherapy. The trial, called Emilia, randomly assigned women to get either T-DM1 or a?combination of GlaxoSmithKline?s lapatinib (Tykerb) and a?chemo drug called capecitabine (Xeloda).

Full details weren?t released today, but Genentech said its new drug met the study?s goal, keeping tumors from spreading for a?significantly longer time than the drugs in the control group. Safety results were consistent with what was seen in prior studies, the company said. Even though the company hasn?t yet followed patients long enough to see if the new drug can extend lives, Genentech said the data was compelling enough for the company to file an application seeking FDA approval of T-DM1 this year, and Roche plans to do the same in Europe. About 229,000 women in the U.S. are diagnosed with breast cancer each year, and the new drug, if approved, could be a?potent new option for about one-fourth of patients whose tumors overexpress the HER2?protein.

?While prior data clearly showed the efficacy and safety of T-DM1 in both first and third line breast cancer, no data was previously available to directly compare the efficacy of T-DM1 to Tykerb/Xeloda,? said Jason Kantor, an analyst with RBC Capital Markets, in a?note to clients today. ?While we believe most investors assume EMILIA would be positive, for us, the results are an important derisking?event.?

T-DM1 is interesting not only for breast cancer patients, but for scientists, because of its unusual way of attacking cancer cells. Genentech has had huge success over the years with its original antibody, trastuzumab (Herceptin), which precisely targets the HER2 protein. But scientists there, along with collaborators at Waltham, MA-based ImmunoGen, believed they could give the drug even more tumor-killing punch if they could attach a?potent toxin to the antibody, making it sort of like a?heat-seeking missile.

Genentech previously sought FDA approval on a?smaller body of evidence from mid-stage clinical trials, and was turned down in August 2010. Since then, Genentech has beefed up the body of evidence for the drug, showing T-DM1 beat its own original product in a?head-to-head study of 137 patients, in addition to the results from today?s bigger Emilia study. And the company isn?t stopping there, running two more Phase III clinical trials of T-DM1 in a?couple different?settings.

Even though Genentech is responsible for development, and will keep the vast majority of product revenues for itself, today?s result is an important moment for ImmunoGen. The company stands to collect a ?mid-single digit? percentage royalty on worldwide sales from T-DM1, because of its contribution to help link the antibody to the toxin. ImmunoGen has no products of its own on the market, and the approval of T-DM1 would provide a?significant percentage from a?potential multi-billion dollar?seller.

Shares of ImmunoGen (NASDAQ: IMGN) climbed 9?percent to $15 at 10:19 am Eastern?time.

Greg Smith has created a significant buzz on Wall Street. When he resigned on March 14th as an executive director at Goldman Sachs, one of the world?s largest investment banks, he decided to publish his resignation letter in the New York Times. Needless to say, he has definitely burned his bridges with his former employer. After 12 years at Goldman Sachs, which he writes was ?long enough to understand the trajectory of [the company?s] culture?, Smith claims he could no longer in good conscience identify with what the company stood for. He complains of a shift in the company?s practices from protecting client interests towards a culture of money-grubbing in which the client?s interests are sidelined. According to Smith, the mission today is to get clients to trade whatever brings the biggest profit to Goldman. He writes:

?Integrity? It is eroding. I don?t know of any illegal behavior, but will people push the envelope and pitch lucrative and complicated products to clients even if they are not the simplest investments or the ones most directly aligned with the client?s goals? Absolutely. Every day, in fact.?

He described an environment where colleagues callously boast about ripping off clients, whom directors refer to as ?muppets.?

Smith concludes his letter by stating:

?I hope this can be a wake-up call to the board of directors. Make the client the focal point of your business again. Without clients you will not make money. In fact, you will not exist. Weed out the morally bankrupt people, no matter how much money they make for the firm. And get the culture right again, so people want to work here for the right reasons. Hawks beat Jazz in NBA's first 4OT game since 1997

ATLANTA (AP) ? Joe Johnson was exhausted by the time the Hawks and Utah Jazz had dragged each other into a fourth overtime ? in Atlanta's third game in three nights, no less.

"It was unbelievable," he said. "I just had to laugh it off. I've never played in a game like that."

Johnson scored 37 points, Josh Smith added 22 and the Hawks ended Utah's six-game winning streak with a 139-133 victory Sunday night in the NBA's first quadruple-overtime game since 1997.

The four overtimes tied for the third-longest game in NBA history. It was the ninth NBA game to go four OTs and the first since Phoenix beat Portland 140-139 on Nov. 14, 1997.

Al Jefferson finished with 28 points and 17 rebounds, and Paul Millsap had 25 points and 13 boards for the Jazz before both players fouled out in the final overtime.

"We'll take a moral victory out of this one," Millsap said. "This was a good ball team we played tonight. They played excellent defense. We just didn't get it done."

Atlanta has won four straight and six of seven. The Hawks improved to 30-20 and moved one-half game ahead of Indiana for fifth place in the Eastern Conference.

"It would happen on the third (straight night), but it shows the toughness of this ballclub to be able to push through that many overtimes and come out victorious," said Smith, who fouled out with 1:57 left in the first overtime. "It was a special win, and I think we'll probably appreciate this win more so than any other win during the season thus far."

Johnson ended the first quarter with 18 points after going 8 of 8 in the period. He missed eight of his next nine shots, including a potential game-winning runner with 3 seconds left in regulation, before hitting a 3-pointer that forced the third overtime.

With 16.9 seconds remaining in the fourth OT, Johnson's 20-foot jumper over C.J. Miles gave the Hawks a 135-131 lead.

"I got some great looks in that first quarter," Johnson said. "I got into a rhythm early and for whatever reason it took me a little while to get that rhythm back, but other guys stepped up and made plays."

Jeff Teague, who had 18 points and nine assists, added a pair of free throws with 13 seconds to go to make it 137-133. Johnson's two free throws sealed the victory with 5.5 seconds remaining.

Zaza Pachulia, who pulled down 20 rebounds, hit a short jumper in the final seconds of the second quarter that gave the Hawks a 17-point lead, their biggest of the game.

Utah rallied with a 27-9 run, giving the Jazz their first lead since early in the opening period. Millsap's 16-footer made it 65-64 with 3:23 left in the third.

Jefferson gave the Jazz their biggest lead of the game when his turnaround 12-footer made it 109-104 in the third OT, but Utah never went ahead in the final two periods.

"It's over with," Jefferson said. "We've just got to get ready for tomorrow. That's why you get in shape. We can't make any excuses. It was their third game in three nights. They found a way to pull it out in the end."

The Jazz, who have won only one road game when they trailed after three quarters, fell to 7-17 away from home. They began the day as one of six teams separated by only 1 1/2 games for the final five playoff spots in the Western Conference.

"We showed a lot of character and fight," Utah coach Tyrone Corbin said. "That's what we need on the road in the second half to win. We've got to make sure we understand that's what's going to make us have a chance."

Utah's biggest lead in regulation came when Gordon Hayward's two free throws made it 93-89 with 5:31 left in the fourth.

Hayward scored 19 points and Devin Harris handed out 10 assists for the Jazz.

Not surprisingly, Johnson was delighted when Jefferson and Millsap both picked up their sixth foul in the last OT.

"I was so happy when they fouled out, man, you wouldn't even believe it," Johnson said with a smile.

Notes: The teams were a combined 2 of 16 from the field in the first OT, and their combined four points tied for 2nd-fewest in NBA history in an overtime period. ... The Truth About Stock Buybacks ? Why Buybacks ... - How to Invest

I am not afraid to say that I hate stock buybacks. Companies announce stock buybacks all the time as if they are doing the investor a huge favor by purchasing some of the outstanding shares. However, the truth is that most stock buybacks are not in your best interests as an investor and why this is the case.

Conventional Wisdom on Stock Buybacks

Many investing courses and texts teach that stock buybacks are an easy way for a company to boost earnings per share when other uses for the cash are not available. A stock buyback often results when a company is doing very well and earnings are great but they are unable to find an investment opportunity that can sustain growth.

In light of no other viable investment opportunities, a company can use a stock buyback to decrease the number of outstanding shares. By reducing the number of shares, the earnings per share will go up even if the earnings stays the same, thereby creating earnings growth even without extra revenue.

For example, let?s say a company is earning $10 million a quarter and has 10 million shares outstanding. This company then has an earnings per share of $1. If the company decides to buy 10% of their stock back, the company then all of a sudden is making $10 million a quarter on 9 million shares. This company is now making $1.11 per quarter, an increase of earnings per share of 11% with no change in revenue.

By increasing earnings per share, the shares will inevitably become more valuable, or so the story goes. While using cash to drive up earnings per share looks good on paper, it unfortunately rarely works out this way in practice. The problem is not that increasing earnings per share will not drive up stock price (it does), but rather that stock buybacks rarely result in any meaningful change in EPS.

Yes, you read that right: stock buybacks are justified by companies as a means to boost earnings per share, but stock buybacks rarely meaningfully influence earnings per share. This is why buybacks are useless to the typical investor.

Why does this happen? Here are the major problems with this approach:

Most Buyback Programs Are Too Small

One reason stock buybacks do not have a significant influence on earnings per share is because they are too small to actually to shrink the earnings per share at a meaningful level to an investor. Consider Apple?s (AAPL) recent stock buyback announcement, where the company announced they would be buying back $10 billion dollars worth of stock over a 3-year span.

This amounts to less than 2% of the company?s current market cap being purchased back over a 3 year period. This means that earnings per share might go up about 2% over three years as a result of this buyback, minus the growth they would have received by investing the money elsewhere.

You might be thinking.. why would a company buyback such a small amount of stock? Well that is because..

Most Stock Buybacks are not Meant to Raise EPS

Many companies issue these small stock buybacks with no intention of raising EPS. Instead, these shares are used as part of compensation packages for executives. Companies often buy back their stock and then give it all away to their executives and vice presidents as a way to pay management extra money. Stock buybacks are where the stocks for stock options come from in older companies that have been public for a long period of time.

There is nothing wrong with buying back some stock to reward executives who have run successful companies. For example, the $10 billion buyback on AAPL over the next few years is well-deserved as over the last 15 years they have gone from a struggling company to the largest market cap in the world at the time of this writing.

The problem is that many companies that do these buybacks are not doing as well as AAPL, using earnings to reward mediocre performers and then have the gall to announce the stock buyback as if they were demonstrating their strength and boosting earnings per share, when their plan all along was to line the pockets of management.

Of course, management cannot line their pockets unless they are actually selling the stocks they receive, which leads me to my next point:

Many Shares from Buybacks Eventually Reappear on the Market

When companies give out stocks as bonuses to executives, these executives then sell the stock in order to get money. I can?t blame them ? they are being compensated after all with the stock. This stock gets sold to a shareholder like you or I and becomes part of the general shares outstanding once again.

That?s right, companies buy back stock and give it to executives. These executives then sell the stock, putting it right back on the open market. The end result is that the total number of shares outstanding does not change after the stock buyback (at least not as much as advertised).

Long Term Stock Buybacks May Secretly Fail

Sometimes the lack of a meaningful change in earnings per share is caused by the fact that stock buybacks often are never seen to completion. This is particularly true over buybacks which are announced that are covering a multi-year period. When a company says they are planning to buy back a certain number of shares over a multi-year period, this is something you have to take with a grain of salt.

When a company announces in 2012 that they are re-buying stock in 2016, if they nix the program and stop buying the stock in 2014 when money is a little tighter, most investors will be none the wiser. It is not really newsworthy when a company stops a buyback program they announced a year or more in the past.

As a result, be careful of buying on the news of a multi-year buyback program. In fact, I would not even consider multi-year buybacks as a plus for a company. The only thing I care about that far in the future when it comes to a stock is their projected earnings and growth opportunities.

A Dividend Boost is a Much Better Service to Investors

Not only as stock buybacks often misleading, but the simplest way to create wealth for investors is to give them the money directly. If a company was during well and truly wanted to reward its shareholders, it would boost dividends.

When a company is doing well and is truly looking out for investors, they raise dividends or even give 1-time bonuses. Not only is money directly in the hands of the investor the best course of the investor, it is also the most efficient course. Companies who have the money to buy back stocks are often running on 52-week highs ? buying back a stock that has already run is a waste of capital.

Exceptions to the Rule ? Spotting a Good Buyback

Like anything in life, there are some exceptions to this rule. The best buybacks are large buybacks which are slated to be completed in the year they are announced. Buybacks that can meaningfully increase earnings per share (i..e at least 8% of the company, in my opinion).

Furthermore, I like to see either a company which has a history of following through with its buybacks (check for any failed or cancelled buyback programs in the past) or an increase in dividend in conjunction with the buyback. I cannot fault AAPL for their $10 billion buyback over 3 years because at the same time they announced their buyback, they announced a dividend program which would amount to about $10 billion annually, a much larger portion than the buyback.

You should also know that some banks are being regulated by the Government in regards to how much money they can distribute via a dividend. After the banking bailout, the Government has set guidelines on what banks can and cannot do. One thing in particular the Fed has been doing is pushing banks towards stock buybacks and away from dividends, or at least making the banks do some of each rather than allowing the banks to issue a straight dividend.

No matter what the buyback looks like, as an investor I would always prefer an increase in the dividend or even a one-time payout over a stock buyback.

If I am holding a stock that goes up after a buyback is announced, I will enjoy the run up in price, but I will not jump on a new stock after a buyback is announced as most stock buybacks really mean nothing to your bottom line. Most buyback shares are given to employees and then ultimately float their way back out onto the open market, leaving you with the same number of shares outstanding as you had before the buyback was announced.

As a general rule, do not count on most buybacks to boost the earnings per share of a company or even the net worth of your holdings in that company over the long term.
